Emaar Is Buying Out Emaar Development: What It Means for Off Plan Buyers

Share the Post:

Emaar Properties wants full control of Emaar Development, the company that builds and sells its residential projects. If you bought off plan from Emaar, here is what has actually been announced, what it does and does not change for you, and the three checks worth doing this week.

By Umer Shauket, Founder & CEO, Cresco Real Estate. RERA ORN 34288. Published 7 November 2026.

The short answer

  • Emaar Properties has offered AED 15 a share in cash for the roughly 21% of Emaar Development it does not own.
  • The offer values Emaar Development at about AED 60 billion; the shares it does not own would cost about AED 12.6 billion.
  • The offer is open from 6 November to 3pm on 10 December 2026.
  • For off plan buyers, nothing announced changes your purchase contract. Your money is protected by the project escrow account, not by who owns the shares.

What Emaar announced

On 4 November 2026, The National reported that Emaar Properties had offered AED 15 a share for full control of Emaar Development. Emaar Properties already owns just over 79% of the company.

Arabian Business put the offer at about 7.9% above Emaar Development’s last close of AED 13.90, valuing the whole company at about AED 60 billion, or $16.3 billion. Buying the remaining shares would cost about AED 12.6 billion, or $3.4 billion. The report also notes the price is roughly 25% below the stock’s record high in February.

According to the offer notice reported by Dubai Week:

  • The offer opened on Friday 6 November and closes at 3pm on Thursday 10 December 2026. Results are due on 11 December, and the period can be extended.
  • The Capital Market Authority issued a no objection letter on 30 October, but final approvals are still a condition.
  • If Emaar Properties reaches 90% of the shares plus one, it intends to buy the rest compulsorily at AED 15 and apply to delist Emaar Development from the Dubai Financial Market.
  • If it does not reach 90%, it still intends to buy every share validly tendered.

Arabian Business reports the stated logic: full ownership gives Emaar Properties more freedom to direct capital to income producing assets, international expansion and dividends.

Why this is the talk of the market

Emaar Development is the build to sell engine behind many of Dubai’s best known master plans. Taking it private would put Dubai’s largest developer fully under one listed parent.

What this means for a buyer

Your contract does not move. The offer is for shares. Nothing published says your sale and purchase agreement, payment plan or handover date changes. Ownership of a company’s shares changing hands is not the same as a change to the company that signed your contract.

Your money is protected by escrow, not by the share register. Under Dubai Law No. 8 of 2007, off plan payments are deposited in an escrow account opened in the project’s name (Article 7). That account is “dedicated exclusively to the construction” of the project, and the developer’s creditors cannot attach it (Article 9). If a project is left unfinished, the escrow agent must make sure it is completed or depositors are refunded (Article 15).

Imagine you paid 30% on an Emaar off plan apartment last year. This week’s news changes who owns the shares above the developer. It does not change where your next instalment goes, which is the escrow account named in your agreement.

Three checks worth doing this week

  • Check your unit is registered. Your Oqood (the interim registration) should be issued by the Dubai Land Department. If you do not have it, ask for it in writing.
  • Check construction progress officially. The DLD Project Status Enquiry shows registered projects and their status. Use it rather than sales updates.
  • Pay only into the escrow account named in your agreement or on your DLD records. A corporate change is a common moment for fraudsters to send fake bank details. Verify any change by phone with the developer before paying.

If you hold Emaar Development shares

That is a different decision, and this is not investment advice. The offer document, the board’s recommendation and the deadline of 10 December are what matter. Speak to a licensed financial adviser.

The honest limits

The offer is still subject to conditions, including final regulatory approval. We have relied on reporting of the offer notice, not on statements about individual projects, and none have been published. If anything changes for buyers, the official source will be the developer and the Dubai Land Department.

Frequently asked questions

What is Emaar offering for Emaar Development?

Emaar Properties has offered AED 15 in cash for each Emaar Development share it does not already own. It holds just over 79% today. The offer opened on 6 November 2026 and closes at 3pm on 10 December 2026, according to the offer notice reported by Dubai Week.

Does the buyout change my off plan purchase with Emaar?

Nothing published about the offer changes a buyer’s purchase contract or how payments are held. The offer is for shares. Off plan payments in Dubai go into a project escrow account under Law No. 8 of 2007, which can only be used to build that project.

Will Emaar Development be delisted?

Emaar Properties says that if it reaches 90% of the shares plus one, it intends to buy the rest compulsorily at the same AED 15 and apply to delist Emaar Development from the Dubai Financial Market.
